Terms of Service

The terms and conditions governing your use of CleoSocial.

1. Acceptance of Terms

By accessing or using CleoSocial.app ("CleoSocial," "we," "us," or "our"), including our website, mobile applications, APIs, and all related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and CleoSocial.app. We may modify these Terms at any time by posting the revised version on our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age (or the age of legal majority in your jurisdiction), you may only use the Service with the consent of a parent or legal guardian who agrees to be bound by these Terms.

By using the Service, you represent and warrant that you meet the eligibility requirements described above and that you have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account or any other breach of security

You may not create an account using false or misleading information, or on behalf of someone other than yourself without their permission. We reserve the right to suspend or terminate accounts that violate these Terms.

4. User Content

4.1 Your Content

The Service allows you to post, upload, share, and otherwise make available content, including but not limited to text, photos, videos, audio, links, and other materials ("User Content"). You retain ownership of your User Content, subject to the rights granted to us in these Terms.

4.2 License Grant

By posting User Content on the Service, you grant CleoSocial.app a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and our business operations, including for the purpose of promoting and redistributing part or all of the Service.

This license ends when you delete your User Content or your account, except where your content has been shared with others and they have not deleted it, or where we are required to retain it for legal purposes.

4.3 Content Responsibility

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that:

  • You own or have the necessary rights and permissions to use and authorize us to use your User Content
  • Your User Content does not infringe, violate, or misappropriate any third party's intellectual property rights, privacy rights, publicity rights, or other personal or proprietary rights
  • Your User Content does not contain any material that is defamatory, obscene, unlawful, threatening, or otherwise objectionable

5. Content Rating System

CleoSocial employs a content rating system that classifies content into categories (G, PG, PG-13, R). R is the maximum rating to help users manage their content experience. Users may also suggest rating changes through our community moderation system.

While we strive for accuracy, AI-generated ratings may not always be perfect. Users are encouraged to report misclassified content. We reserve the right to adjust content ratings at our discretion to maintain community standards.

6. Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any applicable laws or regulations
  • Post content that promotes violence, terrorism, hate speech, harassment, or discrimination
  • Engage in bullying, stalking, intimidation, or harassment of other users
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation
  • Post spam, unsolicited promotions, or chain letters
  • Attempt to gain unauthorized access to other users' accounts, our systems, or networks
  • Use automated means (bots, scrapers, crawlers) to access the Service without permission
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Upload viruses, malware, or other malicious code
  • Collect or harvest personal information of other users without their consent
  • Circumvent, disable, or otherwise interfere with security-related features
  • Create multiple accounts for deceptive or abusive purposes
  • Post sexually explicit content involving minors
  • Sell, trade, or transfer your account to another party

7. Patron Saint Subscriptions

CleoSocial offers a premium subscription tier called "Patron Saint" that provides access to exclusive features, including custom profile frames and enhanced functionality.

  • Billing: Subscriptions are billed on a recurring basis (monthly or annually) at the rate displayed at the time of purchase.
  • Auto-Renewal: Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.
  • Cancellation: You may cancel your subscription at any time through your account settings or the applicable app store.
  • Refunds: Refunds are handled in accordance with the policies of the applicable payment platform.
  • Feature Changes: We reserve the right to modify, add, or remove features included in the Patron Saint subscription with reasonable notice.

8. Intellectual Property

The Service, including its original content (excluding User Content), features, and functionality, is owned by CleoSocial.app and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

The CleoSocial name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CleoSocial.app. You may not use such marks without our prior written permission.

9. DMCA and Copyright Policy

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please provide our designated copyright agent with the following information:

  • A physical or electronic signature of the copyright owner or authorized agent
  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing and its location on the Service
  • Your contact information (address, telephone number, and email address)
  • A statement that you have a good faith belief that the use is not authorized
  • A statement, under penalty of perjury, that the information is accurate

10. Content Moderation

We reserve the right, but are not obligated, to monitor, review, and remove User Content at our sole discretion and for any reason, including but not limited to content that we determine violates these Terms, our Community Guidelines, or applicable law.

Our moderation practices include automated AI-based content analysis, community-driven rating suggestions, and manual review by our moderation team. We strive to apply our policies consistently but acknowledge that content moderation decisions may sometimes be imperfect.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT ANY ERRORS IN THE SERVICE WILL BE CORRECTED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CLEOSOCIAL.APP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Service
  • Any conduct or content of any third party on the Service
  • Any User Content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF $100 USD OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

You may delete your account at any time through your account settings. Upon account deletion, we will remove your profile and User Content in accordance with our Privacy Policy and data retention obligations.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in California.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.
